Governing Body
The Board of Directors of BlueNord ASA is the Company’s governing body and is responsible for the overall management, strategic direction and supervision of the Company’s activities in accordance with the Norwegian Public Limited Liability Companies Act. BlueNord ASA seeks to comply with the Norwegian Code of Practice for Corporate Governance
(www.nues.no).
The Board is elected by and accountable to the Annual General Meeting, which is the Company’s highest decision‑making authority. The Board is composed to ensure relevant competence, experience and independence, and has established Board committees to support its work, including oversight of audit, remuneration and governance matters. Through these structures, the Board oversees Executive Management and ensures effective governance, sound risk management and compliance with applicable laws, regulations and the Company’s governance framework.
Organisation
BlueNord’s Articles of Association and the Norwegian Public Limited Liability
Companies Act define the role and mandate of the Annual General Meeting (AGM). In accordance with the Articles of Association, the AGM is held by the end of June each year.
All shareholders registered in the Norwegian Central Securities Depository (VPS) are entitled to receive notice of and participate in the AGM. Shareholders may submit proposals and exercise their voting rights either in person, by proxy, or through electronic voting in advance of the meeting.
BlueNord’s organisational structure is designed to support the Company’s current operations and future growth.

Annual General Meeting
The Annual General Meeting is the company’s highest authority.

External Auditor
BlueNord’s external auditor is independent of the Company and is elected by the Annual General Meeting, which also approves the auditor’s remuneration.
The Board’s Audit Committee is responsible for overseeing that the Company is subject to an independent and effective external, including the evaluation of the external auditor’s competence, capacity, independence and audit fees.
