Corporate Governance

BlueNord is committed to maintaining a high standard of corporate governance and believes that effective corporate governance is essential to its success.
Governance
BlueNord is dedicated to conducting our business in a responsible, ethical and lawful manner. We strive to be a trusted partner for our customers, shareholders, colleagues, business partners, and communities.
Responsible Business Conduct
BlueNord’s Code of Conduct underpins the Company’s governance framework and supports effective risk management across the Group. It sets clear
standards for integrity and ethical conduct and applies to all Directors, officers and employees, all subsidiaries in which BlueNord holds a direct or indirect
ownership interest, and anyone acting on behalf of the Company. By promoting responsible business practices, transparency and accountability, the Code
supports sustainable operations and long‑term value creation for shareholders.
The Code is supported by complementary policies, including anti‑corruption and whistleblowing frameworks. BlueNord also expects business partners to operate in line with these principles.
Fair Competition
BlueNord is committed to complying with applicable competition and antitrust laws and to conducting its business in a fair and lawful manner, as set out in the Company’s Code of Conduct. The Company does not tolerate anti‑competitive behaviour, including improper coordination with competitors or abuse of market position. All employees, representatives and business partners are expected to understand and comply with relevant competition requirements in accordance with the Code of Conduct and BlueNord’s overall compliance framework.

Whistleblowing, Harassment and Grievance
BlueNord provides secure and confidential channels for reporting concerns related to whistleblowing, harassment and workplace grievances. The whistleblowing procedure applies to all Directors, officers, employees, consultants and others acting on behalf of the Company. Reports may be submitted in good faith through designated reporting channels, including an independent integrity channel, and are handled confidentially and without risk of retaliation.
Anti-Corruption and Bribery
BlueNord applies a zero‑tolerance approach to bribery and corruption, as set out in the Company’s Code of Conduct. The Group’s operations are limited to Denmark, where exposure to corruption risk is assessed as low. This commitment is supported by Group‑wide policies, procedures and training to ensure employees understand anti‑corruption requirements and know how to manage risks, conflicts of interest and potential concerns.
Suppliers, contractors and business partners are required to comply with standards consistent with the Code of Conduct and the Anti‑Corruption and Bribery Policy, supported by due‑diligence and monitoring processes.
Climate Risk
BlueNord recognizes that, as a Company engaging in the production of oil and gas, it has a responsibility to be an active participant in the Energy Transition, both within and outside of the DUC. The Company acknowledges and adheres to the recommendations set forth by the Task Force on Climate Related Financial Disclosures (TCFD) and takes climate risks and opportunities into account when developing strategies and financial plan.
